The Walt Disney Company is holding its annual shareholder meeting on April 3rd, 2024, and is urging shareholders to cast their votes in a proxy battle.

Disney is battling two activist groups seeking spots on the board of directors, and the company is making every effort to ensure that doesn’t happen. We’ve seen Professor Ludwig von Drake showing how to cast a vote, a video featuring CEO Bob Iger, and now, Disney has updated its website with important information.
The Walt Disney Company is holding its annual shareholder meeting on April 3rd, 2024. In January, Disney revealed the 12 nominees they endorsed for the board of directors and shared their official rejection of the activist nominees, Nelson Peltz and James Rasulo.

Disney has been making quite the effort to urge shareholders to vote. They’ve enlisted the help of Professor Ludwig Von Drake and of course, CEO Bob Iger, to help inform and guide shareholders to vote for Disney’s nominees, rather than those from Trian and Blackwells. The votedisney.com website was created to help Disney’s case, and it has been updated with a new “Fact vs. Fiction” section.

In an official statement, Disney stated, “The Board does not endorse the nominations of Nelson Peltz and James Rasulo put forth by Trian Fund Management, L.P., and its affiliates, led by Nelson Peltz and supported by former Disney executive Isaac Perlmutter (collectively, the “Trian Group”). The Board recommends that shareholders do not vote for the Trian Group nominees and that they reject a related proposal from the Trian Group to amend the Company Bylaws.”

The statement continued, “Disney’s Board of Directors urges shareholders to protect their investment and the future of the Company by voting the WHITE proxy card for only Disney’s 12 nominees and not the Trian Group or Blackwells nominees.”

Shareholders can vote now and must have their votes submitted before April 3rd when the results will be announced. Disney is adamant that you do not vote for the Trian group.

Disney has updated the votedisney.com website which was originally created to provide information to shareholders ahead of the meeting, and refutes a handful of claims Peltz and others have made, like the one below.

Peltz reportedly claimed that Disney refused to engage with him throughout the entire proxy battle drama, and Disney claims that they have had “no less than 20 meaningful interactions” during this time.

It’s clear that Disney is relying on shareholders to vote against Peltz, Rasulo, and the Blackwells Group nominees.

If you’re a Disney shareholder, make sure you submit your vote. You have until April 3rd to cast your vote, and we’ll find out the results at the 2024 Annual Shareholder Meeting.
